These Terms and Conditions govern your use of the Zell Systems website (zellsystems.co.uk) and the services provided by CPM Digital Systems Ltd, trading as Zell Systems. By accessing our website or engaging our services, you agree to these terms in full.

"The Client"Any individual or business that engages Zell Systems for a Discovery Audit or subscription service
"The Website"zellsystems.co.uk and all associated pages
"The Services"The Discovery Audit, Starter, Core, and Partner subscription tiers as described on our website
"The Platform"The digital automation infrastructure built and managed by Zell Systems on behalf of the Client
"The Agreement"The service agreement signed between Zell Systems and the Client, which incorporates these Terms

3. Our Services

3.1 Discovery Audit

The Discovery Audit is provided free of charge. It comprises a structured 45-minute consultation call and a written report delivered within 24 hours. The Audit does not constitute a commitment to subscribe and does not guarantee any specific business outcome.

3.2 Subscription Services

Zell Systems offers three monthly subscription tiers — Starter, Core, and Partner — on a fully managed, done-for-you basis. Specific deliverables are set out in the signed service agreement.

3.3 Service Delivery Timeline

Zell Systems will use reasonable endeavours to deliver a live system within 7 days of receiving a completed onboarding form and signed agreement. Delays caused by the Client's failure to provide required information will not constitute a breach by Zell Systems.

3.4 Changes to Services

Zell Systems reserves the right to modify or update any aspect of its services with a minimum of 30 days written notice where changes materially affect the Client's subscription.

4. Payment Terms

4.1 Discovery Audit

The Discovery Audit is provided free of charge. No payment is required to book or attend the Audit.

4.2 Subscription Fees

Monthly fees are collected automatically via Stripe on the same date each calendar month. The Client authorises Zell Systems to charge the agreed amount on each billing date.

4.3 Failed Payments

If payment fails and is not received within 7 days of the due date, Zell Systems reserves the right to pause service delivery. If payment remains outstanding for more than 14 days, Zell Systems may terminate the agreement.

4.4 Price Changes

Subscription pricing may be revised with a minimum of 30 days written notice. The Client may cancel with 30 days notice if they do not wish to continue at the revised price.

4.5 Refunds

Monthly subscription fees are not refundable in the event of cancellation part-way through a billing period.

6. Cancellation & Termination

6.1 Cancellation by the Client

The Client may cancel at any time by providing 30 days written notice to enquiries@zellsystems.co.uk. There is no minimum contract term and no cancellation fee.

6.2 Termination by Zell Systems

Zell Systems may terminate the agreement with immediate effect if the Client fails to make payment within 14 days of the due date, breaches any material term and fails to remedy it within 7 days, or acts in a manner that is abusive or harmful.

6.3 Effect of Termination

Upon termination, the Client's access to the Zell Systems-built platform will be removed. The Client's own data will be available for export for 14 days following termination, after which it will be securely deleted.

7. Intellectual Property

All automation workflows, templates, sequences, and platform configurations built by Zell Systems remain the intellectual property of CPM Digital Systems Ltd. The Client is granted a non-exclusive licence to use the platform for the duration of their active subscription. The Client retains full ownership of all content and data they provide.

8. Confidentiality

Each party agrees to keep confidential all information disclosed by the other party that is reasonably considered confidential, including business strategies, client data, pricing, and technical systems. This obligation continues for 2 years following termination of the agreement.

9. Data Protection

Both parties agree to comply with their respective obligations under UK GDPR and the Data Protection Act 2018. Where Zell Systems processes personal data on behalf of the Client, a Data Processing Agreement is provided and forms part of the overall agreement. Full details are set out in our Privacy Policy.

10. Limitation of Liability

Zell Systems shall not be liable for any indirect, incidental, or consequential loss arising from use of our services, including loss of revenue, data, or business. Our total aggregate liability shall not exceed the total subscription fees paid in the three calendar months immediately preceding the event giving rise to the claim.

Important Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

11. Warranties & Disclaimers

Zell Systems warrants that services will be delivered with reasonable skill and care, and that we have the right to provide the services described. We do not warrant that the services will result in any specific business outcome, or that third-party platforms used in delivery will be free from errors or interruption.

12. Third-Party Services

Zell Systems uses third-party platforms to deliver its services including Stripe, Google Workspace, Notion, and PandaDoc. These are subject to their own terms and conditions. Zell Systems is not liable for any disruption or failure caused by a third-party platform.

13. Governing Law

These Terms and Conditions shall be governed by the laws of Scotland and the United Kingdom. Both parties agree to attempt to resolve any dispute through good faith negotiation before commencing formal legal proceedings. Unresolved disputes shall be subject to the exclusive jurisdiction of the Scottish courts.

14. Changes to These Terms

We reserve the right to update these Terms and Conditions at any time. Existing clients will be notified of material changes by email with a minimum of 30 days notice. The current version is always available at zellsystems.co.uk/terms.
